1. Introduction

Welcome to Tickboard, a task management application ("Tickboard", "we", "us", or "our"). Tickboard is owned and operated by OyeSense Private Limited ("Company").

By downloading, accessing, or using Tickboard, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the service.

2. Definitions

  • Service: The Tickboard mobile application and website
  • User: An individual who has registered an account with Tickboard
  • Content: Any tasks, comments, messages, media, or other material uploaded, shared, or created within Tickboard
  • Task: A digital representation of an activity or responsibility within Tickboard
  • Collaboration: The ability for multiple users to view, edit, or manage the same tasks or projects

3. Account Registration

3.1 Registration Process

To use Tickboard, you must register an account using your phone number. We will verify your phone number through a one-time password (OTP) sent via SMS. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

3.2 Account Requirements

You must:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Be at least 13 years old to use the Service
  • Keep your account secure and notify us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • We reasonably suspect fraudulent, abusive, or illegal activity
  • You have not accessed the Service for an extended period

You may delete your account at any time through the app settings or by contacting our support team.

4. Task Management Features

4.1 Creating and Managing Tasks

Tickboard allows you to:

  • Create, edit, and delete tasks
  • Assign tasks to yourself or collaborators
  • Set due dates, priorities, and categories for tasks
  • Track task progress and completion status
  • Organize tasks into projects or lists

4.2 Task Data

Your task data is stored on our servers and synchronized across your devices. While we implement reasonable security measures, we cannot guarantee the absolute security of your data. You are responsible for backing up any important information.

5. Collaboration Features

5.1 Sharing and Collaboration

Tickboard allows you to:

  • Invite other users to collaborate on tasks and projects
  • Assign tasks to collaborators
  • Share task lists with team members
  • Set different permission levels for collaborators
  • Track activity and contributions from team members

5.2 Collaboration Rules

When using collaborative features, you agree to:

  • Respect the privacy and permissions set by other users
  • Not share access with unauthorized individuals
  • Use collaboration features for legitimate purposes
  • Not use collaboration features to harass, spam, or harm others

6. Communication Features

6.1 Chat Functionality

Tickboard includes WhatsApp-like chat features that allow you to:

  • Send messages to individual users or groups
  • Share files and media related to tasks
  • Receive notifications about task updates
  • Communicate with team members in real-time

6.2 Communication Rules

When using communication features, you agree to:

  • Not send spam, advertisements, or unsolicited messages
  • Not harass, threaten, or intimidate other users
  • Not share illegal, offensive, or harmful content
  • Respect the privacy and communication preferences of other users

7. User Content

7.1 Your Content

You retain ownership of any content you create, upload, or share on Tickboard. By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

7.2 Prohibited Content

You agree not to create, upload, or share content that:

  • Infringes on intellectual property rights
  • Contains viruses, malware, or harmful code
  • Is illegal, offensive, defamatory, or promotes illegal activities
  • Violates the privacy or rights of others
  • Impersonates any person or entity

7.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we find objectionable without prior notice.

8. Intellectual Property

Tickboard and its original content, features, and functionality are owned by OyeSense Private Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Restrictions

You may not:

  • Modify, distribute, or create derivative works based on our Service
  • Use any automated means to access or scrape data from our Service
  • Attempt to reverse engineer any portion of our Service
  • Remove any copyright or proprietary notices from our Service

9. Privacy Policy

Our Privacy Policy describes how we collect, use, and share your personal information. By using Tickboard, you also agree to our Privacy Policy, which is incorporated by reference into these Terms.

10. Subscription and Payments

10.1 Free and Paid Plans

Tickboard may offer both free and paid subscription plans. Features available in each plan will be described on our website or within the app.

10.2 Payment Terms

If you choose a paid subscription:

  • You agree to pay all fees associated with your subscription plan
  • Payments will be charged to your chosen payment method
  • Subscriptions automatically renew unless canceled before the renewal date
  • Prices may change with reasonable notice to you

10.3 Refunds

Refund policies will be specified within the app or on our website. Generally, refunds are provided in accordance with applicable law and our refund policy.

11. Third-Party Services

11.1 Third-Party Links and Integration

Tickboard may contain links to or integrate with third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

11.2 Third-Party Terms

Your use of such third-party services may be subject to their terms of service and privacy policies.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OYESENSE PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • ANY CONTENT OBTAINED FROM THE SERVICE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

13. Disclaimer

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

OYESENSE PRIVATE LIMITED DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

16. Indemnification

You agree to defend, indemnify, and hold harmless OyeSense Private Limited and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Service.

17. Grievance Redressal

If you are affected by any Content which violates these Terms of Service, including the Community Guidelines, you can write your concerns to our Grievance Officer at the details mentioned below:

Please provide the following details in relation to your grievance:

  • Description of the Content which is in violation of our Terms of Service and/or Community Guidelines as well as the nature of the complaint against such Content.
  • Details of the location of the Content including the URL where such Content is hosted.
  • Supporting documents / sources to substantiate the grievance (if applicable).
  • The physical or electronic signature of the complainant. To satisfy this requirement, you may type your full legal name (not that of a company) at the bottom of your grievance email.

Please note the following course of action to be taken by OyeSense Private Limited (including the Tickboard app and Tickboard website) pursuant to your grievance:

  • OyeSense Private Limited shall acknowledge the receipt of your grievance within 24 hours of your email.
  • A unique ticket number shall be issued to you to track the status of the grievance.
  • Based on our review of the nature of the Content and the grievance, we shall take a decision, at its sole discretion to take down the Content if it violates these Terms of Service and/or the Community Guidelines.
  • Such decision of us regarding the Content shall be conveyed to you within 15 days of the receipt of your email.
